 WEBSITE RULES

1. This page sets out the rules (Rules) controlling the use of this website data room (Website) made available to you in relation to the proposed sale of a company or business  or other transaction (Deal) by the relevant Huntley Legal client (Seller). In offering the Website, Huntley Legal on behalf of the Seller are making available a facility which allows you as a potential buyer or their advisor to access, via the internet, information (Information) relating to the Deal. In consideration of the use of this Website you must agree to be bound by these Rules which apply to each and every occasion on which you access the Website.
2. You are only granted access to the Website with the prior consent of the Seller and Huntley Legal and such consent may be withdrawn at any time without prior notice.
3. You agree and accept that unless and only to the extent that it is otherwise stated in any final agreement or disclosure letter relating to the Deal:
   1. all Information and documents that are made available on the Website by the Seller shall be deemed to have been disclosed;
   2. the Seller, or its professional advisers, or any of their respective partners, directors, employees, advisers or agents have any liability to potential buyers or their Representatives or any person to whom information is made available, resulting from the use of the Information;
   3. no representation or warranty, express or implied, is made or given as to the adequacy, accuracy, reliability or completeness of the Information or as to the reasonableness of any assumptions on which any of it is based;
   4. the Seller is under no obligation to provide any additional information or to update or correct any inaccuracies which may become apparent in any of the Information;
   5. the Information is made available to you subject to and on the terms of the confidentiality agreement which is in place in relation to the Deal (Confidentiality Agreement).
4. Whilst using the Website, you must:
   1. take all reasonable steps to ensure that none of the Information is visible to, or capable of being, overlooked by, other persons;
   2. not leave your computer or other communications device through which you access the service unattended whilst connected to the Website;
   3. ensure that you close the browser and log out when you have finished using the Website;
   4. not deface, mark, alter, modify, vary (including varying the sequence of) damage or destroy in any way any Information contained on the Website;
   5. except where the download facility shows that it has been enabled you must not attempt to download, scan, copy, print or otherwise capture any of the information contained in the Website;
   6. not attempt to disable the protection software associated with the Website; and
   7. not share your Website password with anyone else.
5. At the request of the Seller you agree to return and or destroy all Information downloaded or printed by you from the Website and any information derived or generated from it together with any copies in accordance with the Confidentiality Agreement, and to provide a certificate of having done so.

Acceptance note

I agree that by using the password issued to me to login and or access Information I confirm my agreement to these Rules. If I cannot agree to this I shall notify enquiries@huntleylegal.co.uk immediately and my password will be cancelled.
